Chapter 9 - Jason Had Not Forged the Dossier

The independent investigation took nine weeks.

Jason cooperated after his attorney advised him:

He had assembled the conduct summary himself.

He had not forged emails.

Not altered timestamps.

Not manufactured meeting minutes.

He had, however:

omitted exculpatory context,

characterized permitted adviser consultation as unauthorized disclosure,

failed to mention Claire’s written corrections and apologies,

and described disputed incidents as settled facts.

Then intent.

Jason said:

“I believed Claire could not evaluate Northstar objectively.”

Maybe partly true.

Why not ask the independent committee chair to review her conduct neutrally?

“I thought nobody would act unless I documented the pattern.”

Why not give Claire a copy?

“I knew she’d make it personal.”

Claire laughed when she read:

her marriage,

her temperament,

her behavior,

her professional judgment.

Jason had already made it personal.

Then investigators examined Claire.

She received a formal board reprimand for two incidents of unprofessional conduct.

One:

insulting Jason’s competence during the San Diego dinner.

Two:

leaving a committee meeting before formal adjournment after being asked to remain.

Her sharing of valuation materials with independent counsel was found:

permitted.

Her concerns about environmental and renovation assumptions were found:

substantive.

No evidence supported removing her from the committee for instability.

Then Jason’s undisclosed communication with Peter Caldwell.

That was more serious.

The investigation concluded Jason should have disclosed the prospective post-acquisition role.

Did it prove he recommended Northstar because of personal gain?

No.

But nondisclosure undermined confidence.

Then the personal conduct at the wedding.

Corporate investigators did not decide domestic-abuse questions.

They did find Jason had physically restrained and grabbed a board member during an active governance dispute.

That created workplace concerns even though they were spouses.

The board placed Jason on administrative leave.
