Chapter 9 - THE EMPLOYEES

Richardson Maritime employed over twelve hundred people across marinas, logistics offices, service yards, and charter operations. Most had no idea who I was.
Then suddenly their jobs seemed tied to my breakup. That was horrifying.
A mechanic named Tom Alvarez sent Northstar an email: I don’t care who dated who. Please don’t sell the Annapolis yard to developers.
Fair. The yard was profitable but land valuable.
Some restructuring advisers wanted sale. Employees opposed.
Independent committee evaluated. Not sentimental.
Cash flow. Strategic value.
Then we found yard was one of strongest assets. Kept.
Good. Two luxury charter subsidiaries were sold instead.
Less employee impact. Then one corporate communications manager said: “Can we please stop calling this the yacht scandal internally?”
No. Everyone did anyway.
Then Richardson instituted whistleblower protection under new governance. Not because one person alone.
Because lenders required it. Systems.
Then employees elected one independent workforce observer to restructuring committee. Charles hated. Julian supported. Again.
Change. Then a hidden problem emerged.
One marina acquisition involved environmental liabilities Richardson had underreserved. Potential cleanup eighteen million.
Owen knew. He discounted debt purchase accordingly.
Charles knew some. Not full.
That reduced equity value. Suddenly Northstar’s forty-nine percent dream looked less lucrative.
Good. No secret billion-dollar jackpot.
Then outside valuation. Richardson enterprise value after liabilities maybe 130 million.
Debt eighty-four million plus others. Equity narrow.
Family had been living wealthy on leveraged assets. Eleanor’s designer image exceeded actual liquid wealth.
Again. Luxury can be debt wearing perfume.
Then restructuring terms finalized. Northstar debt converted partly to preferred equity around thirty percent economic interest, not control.
Outside investors injected capital. Charles stepped down CEO.
Kept minority board seat for transition. Eleanor no governance role.
Julian remained employee, no proxy. Owen out.
Company survived. Then one reporter asked: “Did you win?”
I said: “This isn’t a breakup where one person gets the yacht.” Good quote, unfortunately viral.
Then another asked about brown folder. I said: “It exposed unauthorized negotiations. It did not contain a magic deed.”
Important. Then I went back to work.
