Chapter 12 - The Westbridge Deal Was Not Bad

Diane wanted the acquisition rejected after everything.

Grant refused to make that decision emotionally.

Good.

Independent advisers reviewed Westbridge.

Diane’s concerns were partly correct.

Deferred marina maintenance:

significant.

Debt:

high.

But Westbridge also owned valuable waterfront leases and had strong membership retention.

Price was renegotiated.

Seller agreed to fund part of the deferred maintenance.

Debt refinancing terms improved.

Parker Coastal Clubs acquired:

Westbridge.

Nine months later.

Without Melissa involved.

The company created the expanded membership role she had wanted.

Someone else received:

it.

That consequence mattered.

Not because the deal had secretly been evil.

Because Melissa had risked her family and career trying to manipulate governance around a transaction that could survive honest scrutiny.

If she had argued her position normally, she might have been right.

Instead she decided Diane herself was the problem.

Then tried to manufacture a reason to remove:

The scheme was unnecessary.
