Chapter 4 - Dad Left Vanessa and Me Equal Shares for a Reason

Our father, Dr. Thomas Mercer, was an Army trauma surgeon before he founded the clinic.

He understood two things exceptionally well.

Injury.

And power.

Mercer Veterans Recovery Center began with twelve rehabilitation beds.

By the time Dad died, it had become a respected private clinic specializing in physical rehabilitation, prosthetic adaptation, traumatic injury recovery, and family reintegration.

It was profitable.

But Dad never wanted profit to become its only purpose.

So he structured ownership carefully.

The clinical practice operated through Mercer Veterans Recovery Center LLC.

When he died, Vanessa inherited fifty percent.

I inherited fifty percent.

Vanessa became acting chief executive because she had been handling finance and administration while I was still transitioning out of service.

I became co-owner and board vice-chair.

Neither sister could sell the clinic.

Neither could transfer substantially all operating assets.

Neither could enter a long-term management agreement exceeding ten years.

Not alone.

Major structural decisions required both signatures.

Dad did that intentionally.

Vanessa understood money.

I understood the veterans the clinic existed to serve.

He wanted those instincts forced to coexist.

For three years, they did.

Then Vanessa decided coexistence was no longer enough.

She wanted control.
