Chapter 5 - The Blue Folder Was Not a Simple Estate Form

After the fight, I did not sign anything.

Grant did not leave with Vanessa.

He picked up the blue folder instead.

She immediately said:

“That’s private.”

Grant looked at her.

“You were asking Evelyn to sign it in front of me.”

“That doesn’t make it yours.”

I took the folder from him.

Then called the clinic’s outside counsel.

Not Vanessa’s attorney.

Mine.

The documents were reviewed that evening.

The first page was titled:

Assignment of Membership Interest and Voting Proxy.

It would transfer my fifty-percent ownership interest in Mercer Veterans Recovery Center LLC to Vanessa.

Not temporarily.

Permanently.

The second document resigned me from the governing board.

The third waived future claims arising from management decisions made before the transfer.

The fourth imposed a broad nondisparagement provision.

Buried behind those documents was the reason Vanessa wanted my signature so badly.

A pending acquisition proposal.

ValorBridge Health Group wanted operational control of Mercer Veterans Recovery Center.

The proposed transaction valued the business at roughly thirty-two million dollars.

But it was not a clean sale.

ValorBridge would consolidate rehabilitation services, centralize staffing, reduce some long-duration programs, and eventually acquire the real estate through a separate option.

Dad’s clinic would survive in name.

Its operating model would not.

Vanessa could not close the transaction without me.
